Memoranda of Understanding between MVF and MVSA regarding the Restrooms and Concession Stand in South Valley Park

Background : State grant funds were awarded to the Montgomery Village Sports Association (MVSA) for the construction of restrooms and a concession stand in South Valley Park. MVSA would like to name the MVF as a beneficiary on the grant agreement for the purpose of constructing, owning and operating these facilities and allowing their use by the MVSA. Memoranda of Understanding are needed between MVF and MVSA for the project. The first MOU outlines the relationship between MVF and MVSA as it pertains to the grant project, with MVF agreeing to be named the beneficiary of the capital grant. It also outlines the responsibilities that MVF will undertake with regard to the project, for such things as procurement of bids, contracting with the selected bidder, and paying vendors for the project, in accordance with the procedures established by the State of Maryland Department of General Services, (DGS) and the Board of Public Works. This MOU will be sent to DGS and incorporated into the grant agreement. The Second MOU between MVF and MVSA outlines insurance, liability and indemnification of MVSA regarding the project. Copies of the draft MOUs may be viewed at MVF.Org, under MVF Board meeting packet pages 46-48.

 Action Needed: The MVF Board of Directors will vote this Thursday evening on the Memo Of Understanding between the MVF and MVSA. The vote will be to authorize the MVF Executive Vice President to negotiate (if needed) and execute the MOUs as needed for the project to move forward.

Bob, Rest assured that I am thoroughly up on things related to the South Valley Restroom and Concession Stand and the $125,000 in State funds being sought. Long awaited, the Memoranda of Understanding (MOU’s) outline a partnership between Montgomery Village Foundation (MVF) and Montgomery Village Sports Association (MVSA), whereby, MVF finances the community share associated with constructing, owning, and operating the South Valley Restroom and Concession Stand and supplies indemnification for MVSA should lawsuits stemming from MVSA usage of the facility arise. As written, the MOU’s comprise a one-sided partnership lacking in mutuality. In addition, the MOU’s are incomplete lacking specifics on design process, operations, and financial exposures stemming from indemnification.

Au contraire! State grant funds have not yet been awarded to the Montgomery Village Sports Association (MVSA) for the construction of restrooms and a concession stand in South Valley Park. It must first be approved by the Board of Public Works. However, the saga of the South Valley Restroom and Concession Stand will come to an end next week when the Board of Public Works (BPW) will take up the issue of the $125,000 bond bill grant for the South Valley Restroom and Concession Stand at 10:00AM on December 19, 2012 in the Governor’s Reception Room in the Sate House. On the agenda, I will be there urging the BPW composed of Governor Martin O’Malley, Comptroller Peter Franchot, and Treasurer Nancy Kopp to disapprove the South Valley Park bond bill project involving the Montgomery Village Sports Association and the Montgomery Village Foundation. It is time to scrap plans for building the controversial $250,000 South Valley Restroom and Concession stand, awarded a $125,000 state grant under false pretenses, and shake off the egregious state imposed conditions and strings attached to awarding the grant. 1. Governor O’Malley expects State funds to be spent on union labor because, he said, “... in our State we believe that stronger unions make for a stronger middle class.” 2. Demanded by the State, an MOU indemnity clause places the Montgomery Village Sports Association (MVSA) above Village residents in direct violation of MVF Board member fiduciary responsibility.
